These Terms govern access to and use of Neerbei, including public business profiles, account functions, paid products, subscriptions, AI-assisted features, and related services. By using Neerbei, creating an account, publishing a profile, or purchasing a product, you agree to these Terms.

1. Scope

These Terms apply to all contracts and use of the platform between Neerbei and users, businesses, freelancers, service providers, and visitors. Different laws may apply depending on where a user is located.

2. Account Registration

You must provide accurate, current, and complete account information and keep your login credentials secure. Login, authentication, and account management may be handled through Keycloak or a similar identity provider. You must be at least 18 years old, or the age of legal majority in your location, to create a business account or buy paid services.

3. Services Provided by Neerbei

Neerbei is a platform where businesses, freelancers, and service providers can create and manage digital business profiles. Depending on availability and plan, Neerbei may provide:

• creation and management of public business profiles;
• display of services, media, contact data, opening hours, links, and profile cards;
• AI-assisted functions, including NERO, profile text, SEO text, replies, recommendations, images, or automation;
• paid products, subscriptions, premium features, digital design adjustments, checkout, invoices, and billing management.

4. Business Profiles and Public Visibility

Business profile information submitted for publication may be publicly visible to visitors, search engines, AI systems, social platforms, and other third parties. This may include business names, images, logos, addresses, contact details, links, descriptions, services, and reviews or comments.

You are responsible for making sure that your profile information, offers, services, claims, prices, images, logos, links, and contact details are lawful, accurate, up to date, and that you have all rights needed to publish them.

5. User Content and Uploaded Media

You keep ownership of content you upload or submit. You grant Neerbei a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, adapt, process, and distribute that content as needed to operate, improve, secure, market, and provide the platform.

You may not upload content that is illegal, misleading, infringing, confidential, harmful, defamatory, discriminatory, or otherwise violates rights of others. Neerbei may remove or restrict content where required by law or where it creates legal, security, operational, or reputational risk.

6. Contract Formation

A contract is formed when you choose a paid offer and confirm the purchase through the platform or a connected payment flow. Free functions may be changed, limited, or discontinued at any time.

7. Prices, Payments, and Subscriptions

Prices are shown on the platform or during checkout. Payments, subscriptions, invoices, payment status, billing portal functions, and payment management may be processed through Stripe. Neerbei does not intend to store full credit card numbers when Stripe handles payment processing.

Subscriptions renew automatically unless canceled before the renewal date through the available billing, account, or support process. Already paid amounts are not refunded proportionally unless required by law or expressly stated at checkout.

8. Digital Products and Designs

Purchased digital designs, profile cards, visual adjustments, AI features, and similar products generally affect the visual or functional presentation described at purchase. They do not unlock additional functions unless this is expressly stated.

9. AI Functions

AI functions can support communication, profile creation, SEO text, replies, recommendations, images, and automation, but AI output can be incomplete, inaccurate, biased, outdated, or unsuitable. You must review and approve AI-generated content before publishing or relying on it. Neerbei does not guarantee AI accuracy, rankings, visibility, traffic, leads, customers, revenue, SEO results, Google ranking, or business success.

10. User Duties and Acceptable Use

You agree to use Neerbei lawfully and fairly. In particular, you must:

• publish only lawful content and correct business information;
• hold the necessary rights to uploaded images, logos, texts, links, and media;
• avoid false, deceptive, harmful, abusive, or infringing claims;
• not misuse the platform, security systems, payment flows, accounts, APIs, or technical resources.

11. Misuse, Removal, and Suspension

Misuse of the platform is prohibited. Neerbei may act where use appears abusive, unlawful, fraudulent, harmful, risky, or inconsistent with these Terms.

• restrict, suspend, or terminate accounts or profiles;
• reject purchases, remove content, or limit features;
• preserve evidence, cooperate with providers or authorities, and take legal steps where appropriate.

12. Third-Party Services

Neerbei may use third-party providers for authentication, payments, hosting, databases, storage, email, analytics, AI, maps, social integrations, security, and infrastructure. These providers may have their own terms and privacy notices. Neerbei is not responsible for third-party services except where required by law.

13. Account or Profile Deletion

If an account or business profile is deleted, public profile data may be removed from active display and purchased services may end. Some information may remain where needed for legal, tax, accounting, billing, security, fraud-prevention, backup, dispute-resolution, or operational reasons. Deletion may not be available while active subscriptions or unresolved obligations exist.

14. No Warranties and No Guaranteed Results

To the maximum extent permitted by law, Neerbei is provided as is and as available. We do not guarantee uninterrupted availability, error-free operation, permanent storage, specific rankings, customer acquisition, sales, revenue, SEO performance, AI visibility, or compatibility with every third-party service.

15. Limitation of Liability

To the maximum extent permitted by law, Neerbei is liable only as required by applicable law. Neerbei is not liable for user-generated content, inaccurate business information, AI output, third-party services, lost profits, lost revenue, loss of data, business interruption, indirect damages, or consequential damages, except where such limitation is not legally permitted.

16. Indemnification

If you use Neerbei for a business, you agree to defend and hold Neerbei harmless from claims, losses, costs, damages, and expenses arising from your content, profile, services, products, customer interactions, breach of these Terms, violation of law, or infringement of third-party rights.

17. Changes to Services, Prices, and Terms

Neerbei may update features, prices, plans, policies, and these Terms. If changes are material, Neerbei will take reasonable steps to provide notice. Continued use after the effective date means you accept the updated Terms.

18. Governing Law

These Terms are governed by the laws applicable to Neerbei, unless mandatory consumer-protection law provides otherwise.

19. Withdrawal and Digital Services

Where mandatory consumer withdrawal rights apply, users may have a right to withdraw within the legally required period. For digital content or digital services, this right may end early or compensation may be owed if performance starts with the required user consent and legal notices.

Refund, cancellation, and auto-renewal details are stated at checkout, in the product description, in the billing flow, or in these Terms.
